Rearden Labs Terms of Service

These Terms of Service ("Terms") govern your use of products and services operated by Rearden Labs ("we," "our," or "us"), including but not limited to PRISM AI and any other software, platforms, or services we provide (collectively, the "Services"). By accessing or using any of our Services, you agree to be bound by these Terms.

⚠️ Critical Manufacturing Disclaimer

Our manufacturing software generates G-code and toolpaths as a starting point only. You are solely responsible for verifying all toolpaths, speeds, feeds, and machine parameters before running any code on your equipment. We assume no liability for machine crashes, tool breakage, scrapped parts, or any damage resulting from use of generated code. See Section 7 for full details.

1. Acceptance of Terms

By creating an account or using any Service, you confirm that you are at least 18 years old, have the authority to enter into these Terms (personally or on behalf of your organization), have read and understood these Terms, and agree to be legally bound by them.

If you do not agree to these Terms, you may not use our Services.

2. Description of Services

Rearden Labs provides manufacturing intelligence software and services, including:

Our Services are designed to assist manufacturing professionals but do not replace professional judgment, proper machining practices, or safety protocols.

3. Account Terms

3.1 Account Creation

You must provide a valid email address to create an account. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized access.

3.2 Account Requirements

You may not use our Services if you are a competitor using the Services for competitive analysis, have previously been banned from our Services, or are prohibited by law from using such services.

3.3 Account Termination

You may delete your account at any time by contacting us. We may suspend or terminate your account for violation of these Terms, non-payment of fees, extended inactivity (12+ months), or as required by law.

4. Subscription and Billing

4.1 Free and Paid Plans

Our Services may offer free tiers with limited features and paid subscription plans with additional capabilities and higher usage limits. Current pricing is available on the respective product websites.

4.2 Free Trial

Paid plans may include a free trial period. You will not be charged during the trial period. If you do not cancel before the trial ends, your subscription will automatically convert to a paid subscription, and you will be charged the applicable fee.

4.3 Billing

We may change subscription prices with 30 days' advance notice. Price changes will take effect at your next billing cycle. Continued use after a price change constitutes acceptance of the new price.

4.5 Taxes

Prices do not include taxes. You are responsible for all applicable taxes, which will be added to your invoice where required by law.

5. Cancellation and Refunds

5.1 How to Cancel

You may cancel your subscription at any time through your account settings or by contacting us at info@reardenlabs.ai. Cancellation takes effect at the end of your current billing period.

5.2 Effect of Cancellation

Upon cancellation, you retain access to paid features until the end of your current billing period. After that, your account reverts to the free tier (if available). Your data remains accessible, but premium features will be locked.

5.3 Refund Policy

  • Monthly Plans: No refunds for partial months. You retain access through the end of your billing period.
  • Annual Plans: No prorated refunds for early cancellation. The free trial period serves as your evaluation period.
  • First Payment: If you are unsatisfied with the Service within 30 days of your first paid subscription, contact us for a full refund at our discretion.
  • Exceptions: Refunds may be provided at our sole discretion for service outages exceeding 24 consecutive hours or billing errors on our part.

5.4 Chargebacks

If you file a chargeback or payment dispute, we reserve the right to immediately suspend your account pending resolution. Fraudulent chargebacks may result in permanent account termination and collection action.

6. Acceptable Use

6.1 Permitted Use

You may use our Services for legitimate manufacturing business purposes, including analyzing blueprints and technical drawings, generating G-code for your own machining operations, planning and quoting manufacturing jobs, and contributing training data to improve our platforms.

6.2 Prohibited Use

You may not use our Services to violate any laws or regulations, infringe on intellectual property rights, upload malicious code or attempt to compromise our Services, resell or redistribute Service access, reverse engineer or attempt to extract source code, share account credentials with unauthorized users, exceed your plan's usage limits through automation or abuse, or use our Services for any illegal manufacturing activities.

7. Manufacturing Disclaimers and Liability

⚠️ CRITICAL: READ THIS SECTION CAREFULLY

CNC machining involves inherent risks including machine damage, tool breakage, personal injury, and property damage. The following disclaimers are fundamental to your use of our Services.

7.1 G-Code Is a Starting Point Only

All G-code generated by our software is provided as a starting point for your review and modification. Generated code is NOT production-ready without your verification. You MUST review all toolpaths before running on any machine. You MUST verify speeds, feeds, and cutting parameters for your specific equipment, materials, and conditions. You MUST perform dry runs and/or simulation before cutting.

7.2 Your Responsibilities

When using our Services, you are solely responsible for:

7.3 No Warranty on Generated Output

We make NO WARRANTY that generated G-code, operation plans, or any other output will produce correct parts, meet dimensional tolerances, or be appropriate for your specific application.

AI-generated content may contain errors, hallucinations, or inappropriate recommendations. Manufacturing conditions vary by machine, tooling, material, and environment. What works in one shop may not work in another.

7.4 Assumption of Risk

BY USING OUR SERVICES, YOU EXPRESSLY ASSUME ALL RISKS ASSOCIATED WITH:

7.5 Indemnification

You agree to indemnify, defend, and hold harmless Rearden Labs and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including attorneys' fees) arising from your use of generated G-code or other outputs, any manufacturing defects or failures, injury or damage caused by running generated code, and your violation of these Terms.

8. Intellectual Property

8.1 Your Content

You retain all ownership rights to blueprints you upload (which are processed locally and not stored), G-code you create or modify, data you input or generate, and training data you contribute (subject to license below).

8.2 Training Data License

If you voluntarily contribute training data (blueprint/G-code pairs, operation sequences, etc.), you grant us a perpetual, worldwide, royalty-free, non-exclusive license to use the training data to improve our AI models, create derivative works and trained models, and sublicense to AI providers for model training.

You represent that you have the right to grant this license, the data does not infringe third-party rights, and no confidential customer information is included.

8.3 Our Intellectual Property

We retain all rights to our software, algorithms, and code, our names and branding, our trained AI models and improvements, and documentation and user interface designs.

8.4 Feedback

Any feedback, suggestions, or ideas you provide may be used by us without compensation or attribution.

9. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

We expressly disclaim all warranties including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our Services will be uninterrupted, error-free, or secure, that generated outputs will be accurate or suitable for any purpose, that defects will be corrected, or that our Services will meet your specific requirements.

10. Limitation of Liability

10.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REARDEN LABS SHALL NOT BE LIABLE FOR ANY:

This applies regardless of the theory of liability (contract, tort, or otherwise) and even if we have been advised of the possibility of such damages.

10.2 Liability Cap

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO OUR SERVICES SHALL NOT EXCEED THE GREATER OF:

10.3 Essential Purpose

The limitations in this section apply even if any limited remedy fails of its essential purpose. Some jurisdictions do not allow certain limitations; in such cases, our liability is limited to the maximum extent permitted by law.

11. Dispute Resolution

11.1 Governing Law

These Terms are governed by the laws of the State of Illinois, without regard to conflict of law principles.

11.2 Informal Resolution

Before filing any formal dispute, you agree to contact us at info@reardenlabs.ai and attempt to resolve the dispute informally for at least 30 days.

11.3 Arbitration

Any dispute not resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. Arbitration shall take place in Cook County, Illinois. The arbitrator's decision shall be final and binding. Judgment may be entered in any court of competent jurisdiction.

11.4 Class Action Waiver

YOU AGREE TO RESOLVE DISPUTES WITH US ON AN INDIVIDUAL BASIS ONLY. You waive any right to participate in a class action, class arbitration, or representative proceeding.

11.5 Exceptions

Either party may seek injunctive relief in court for intellectual property infringement or unauthorized access to our Services.

12. General Terms

12.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Rearden Labs regarding our Services.

12.2 Modifications

We may modify these Terms at any time. Material changes will be communicated via email or prominent notice on our Services. Continued use after changes constitutes acceptance.

12.3 Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

12.4 No Waiver

Our failure to enforce any provision does not waive our right to enforce it later.

12.5 Assignment

You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

12.6 Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, or infrastructure failures.
