These Terms of Service ("Terms") govern your use of products and services operated by Rearton Labs, Inc., a Delaware corporation and subsidiary of Akston Industries ("we," "our," or "us"), including but not limited to PRISM AI — the Production Resource Intelligence System for Manufacturing — and any other software, platforms, or services we provide (collectively, the "Services"). By accessing or using any of our Services, you agree to be bound by these Terms.
Our manufacturing software generates G-code, toolpaths, cutting parameters, quotes, SPC analyses, inspection plans, and operational recommendations as decision-support tools only. You are solely responsible for verifying all outputs — including toolpaths, speeds, feeds, machine parameters, cost estimates, quality measurements, and operational plans — before acting on them. We assume no liability for machine crashes, tool breakage, scrapped parts, inaccurate quotes, quality escapes, or any damage resulting from reliance on generated outputs. See Section 7 for full details.
By creating an account or using any Service, you confirm that you are at least 18 years old, have the authority to enter into these Terms (personally or on behalf of your organization), have read and understood these Terms, and agree to be legally bound by them.
If you do not agree to these Terms, you may not use our Services.
Rearton Labs develops and operates manufacturing intelligence software. Our primary product is PRISM AI, an integrated platform built on peer-reviewed physics from 220 university courses and backed by curated databases of over 109,000 cutting tools, 6,300 materials, and 880 machine profiles. PRISM may include the following capabilities, depending on your subscription tier:
PRISM includes built-in support for compliance workflows across ISO 13485 (medical devices), AS9100D/NADCAP (aerospace), IATF 16949 (automotive), API standards (oil & gas), SOC 2, HIPAA, and FDA 21 CFR Part 11. Compliance tooling assists with documentation and workflows but does not constitute certification.
Available features depend on your subscription tier. Our Services are designed to assist manufacturing professionals but do not replace professional judgment, proper machining practices, safety protocols, or certified quality processes.
You must provide a valid email address to create an account. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized access.
If you create an account on behalf of a company or organization, you represent that you have authority to bind that organization to these Terms. The organization is the account holder and is responsible for all users it authorizes, including operators using kiosk or shared-device deployments.
You may not use our Services if you are a competitor using the Services for competitive analysis or reverse engineering, have previously been banned from our Services, or are prohibited by law from using such services.
You may delete your account at any time by contacting us. We may suspend or terminate your account for violation of these Terms, non-payment of fees, extended inactivity (12+ months), or as required by law. Upon termination, your right to access the Services ceases immediately, though we will make your data available for export for 30 days following termination where practicable.
Our Services are offered across multiple tiers:
Annual billing is available at a discount. Post-processor purchases (monthly, annual, permanent, and bundle options) are available separately. Current pricing is available at reardenlabs.ai.
Paid plans may include a free trial period. You will not be charged during the trial period. If you do not cancel before the trial ends, your subscription will automatically convert to a paid subscription.
Enterprise customers may be subject to separate agreements that supplement or supersede portions of these Terms. In the event of conflict, the enterprise agreement controls.
We may change subscription prices with 30 days' advance notice. Price changes take effect at your next billing cycle. Continued use after a price change constitutes acceptance of the new price.
Prices do not include taxes. You are responsible for all applicable taxes, which will be added to your invoice where required by law.
You may cancel your subscription at any time through your account settings or by contacting us at info@reardenlabs.ai. Cancellation takes effect at the end of your current billing period.
Upon cancellation, you retain access to paid features until the end of your current billing period. After that, your account reverts to the free tier (if available). Your data remains accessible, but premium features will be disabled. Permanent post-processor licenses remain active regardless of subscription status.
If you file a chargeback or payment dispute, we reserve the right to immediately suspend your account pending resolution. Fraudulent chargebacks may result in permanent account termination and collection action.
You may use our Services for legitimate manufacturing business purposes, including calculating cutting parameters and optimizing speeds and feeds; generating and reviewing G-code and post-processed programs; analyzing blueprints and extracting manufacturing features; quoting, scheduling, and managing manufacturing jobs; monitoring machine performance and collecting SPC data; tracking operator time, machine utilization, and shop floor metrics; training employees through PRISM Academy; contributing training data to improve our platforms; and designing mechanical components and performing engineering calculations.
You may not use our Services to violate any laws or regulations; infringe on intellectual property rights; upload malicious code or attempt to compromise our systems; resell, sublicense, or redistribute Service access without authorization; reverse engineer, decompile, or attempt to extract source code, algorithms, physics models, or database contents; share account credentials with unauthorized users; circumvent usage limits through automation, scripting, or abuse; scrape, harvest, or systematically download tool catalogs, material databases, machine profiles, or other proprietary data; falsify SPC data, quality records, or compliance documentation; or use our Services in connection with any illegal manufacturing activities.
Where our Services support shared-device or kiosk deployments (such as shop floor time clocks and job tracking stations), you are responsible for securing the physical device, ensuring only authorized operators access the system, maintaining accurate operator records, and preventing unauthorized data export from shared devices.
If you connect our Services to CNC machines via OPC-UA, MTConnect, MQTT, or other protocols, you are solely responsible for network security between your machines and our Services, ensuring machine connectivity does not create safety hazards, validating that adaptive control parameters are appropriate for your equipment, and all consequences of real-time machine data collection and any actions taken based on that data.
CNC machining and manufacturing involve inherent risks including machine damage, tool breakage, personal injury, and property damage. The following disclaimers are fundamental to your use of our Services.
All outputs generated by our software — including G-code, toolpaths, cutting parameters, speed/feed recommendations, quotes, cost estimates, SPC analyses, inspection plans, operation sequences, scheduling recommendations, maintenance predictions, and AI assistant responses — are provided as decision-support tools for your review and professional judgment.
Our platform implements peer-reviewed physics models (including Kienzle, Taylor, Loewen-Shaw, Brammertz, Gilbert, Merchant, Oxley, Usui, Archard, and others) and algorithms from academic research. While these models are well-established in manufacturing science, they are mathematical approximations of real-world phenomena. Actual cutting conditions, material properties, machine dynamics, tool wear patterns, and environmental factors may differ from model assumptions. You must validate all physics-based outputs against your actual shop conditions.
Our databases contain information on over 109,000 cutting tools, 6,300 materials, and 880 machines. This data is curated from manufacturer specifications, academic sources, and industry standards. We do not guarantee the accuracy, completeness, or currency of any catalog data. Tool geometries, material properties, and machine specifications may change without notice from their respective manufacturers. You must verify critical parameters against current manufacturer documentation.
When using our Services, you are solely responsible for:
We make NO WARRANTY that generated G-code, operation plans, cutting parameters, quotes, SPC analyses, compliance documentation, or any other output will produce correct parts, meet dimensional tolerances, satisfy quality requirements, or be appropriate for your specific application.
AI-generated content may contain errors, hallucinations, or inappropriate recommendations. Manufacturing conditions vary by machine, tooling, material, and environment. What works in one shop may not work in another.
BY USING OUR SERVICES, YOU EXPRESSLY ASSUME ALL RISKS ASSOCIATED WITH:
You agree to indemnify, defend, and hold harmless Rearton Labs, Inc., Akston Industries, and their respective officers, directors, employees, and agents from any claims, damages, losses, or expenses (including attorneys' fees) arising from your use of generated G-code, cutting parameters, or other outputs; any manufacturing defects, quality escapes, or failures; injury or damage caused by running generated code or applying generated parameters; your violation of these Terms; and your failure to comply with applicable regulatory requirements.
You retain all ownership rights to blueprints and engineering drawings you upload (processed locally and not stored on our servers), G-code you create or modify, manufacturing data you input (job records, customer data, inventory data, SPC measurements), and training data you contribute (subject to license below).
If you voluntarily contribute training data (blueprint/G-code pairs, operation sequences, cutting parameter results, etc.), you grant us a perpetual, worldwide, royalty-free, non-exclusive license to use the training data to improve our AI models and physics algorithms, create derivative works and trained models, and sublicense to AI providers for model training. You represent that you have the right to grant this license, the data does not infringe third-party rights, and no confidential customer information is included. Our data redaction system can assist with anonymization before contribution.
If you opt into our Shared Learning Bus, anonymized and aggregated patterns from your usage (such as which cutting parameters produced successful outcomes for a given material/tool combination) may be shared across the platform to improve recommendations for all users. No identifying information, customer data, pricing, serial numbers, or operator identifiers are shared. You may opt out of cross-shop learning at any time.
We retain all rights to our software, algorithms, physics engines, and source code; the PRISM name, branding, and trademarks; our trained AI models, neural patterns, and improvements; our curated databases (tool catalogs, material databases, machine profiles, formula registries, shop practice libraries, and alarm databases); our 850+ algorithm implementations and academic course integrations; documentation, user interface designs, and course content; and all proprietary methodologies (including TGAR, HRAF, MTHZD, CFSF, PTDC, and VCER algorithms).
Any feedback, suggestions, or ideas you provide may be used by us without compensation or attribution.
OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
We expressly disclaim all warranties including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our Services will be uninterrupted, error-free, or secure; that generated outputs (including G-code, cutting parameters, SPC analyses, quotes, or compliance documentation) will be accurate or suitable for any purpose; that our physics models will accurately predict real-world cutting conditions; that our tool, material, or machine databases are complete or current; that defects will be corrected; or that our Services will meet your specific requirements or comply with your industry's regulatory standards.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, REARTON LABS, INC. SHALL NOT BE LIABLE FOR ANY:
This applies regardless of the theory of liability (contract, tort, or otherwise) and even if we have been advised of the possibility of such damages.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO OUR SERVICES SHALL NOT EXCEED THE GREATER OF:
The limitations in this section apply even if any limited remedy fails of its essential purpose. Some jurisdictions do not allow certain limitations; in such cases, our liability is limited to the maximum extent permitted by law.
While our platform includes 44 non-disableable safety hooks, multi-layer collision detection, spindle protection, and tool breakage prediction, these safety systems are supplementary and do not replace proper machine guarding, operator training, safety interlocks, or your shop's safety procedures. You must not rely on our software as a primary safety system.
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.
Before filing any formal dispute, you agree to contact us at info@reardenlabs.ai and attempt to resolve the dispute informally for at least 30 days.
Any dispute not resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. Arbitration shall take place in Cook County, Illinois. The arbitrator's decision shall be final and binding.
YOU AGREE TO RESOLVE DISPUTES WITH US ON AN INDIVIDUAL BASIS ONLY. You waive any right to participate in a class action, class arbitration, or representative proceeding.
Either party may seek injunctive relief in court for intellectual property infringement or unauthorized access to our Services.
These Terms, together with our Privacy Policy and any applicable enterprise agreement, constitute the entire agreement between you and Rearton Labs, Inc. regarding our Services.
We may modify these Terms at any time. Material changes will be communicated via email or prominent notice on our Services. Continued use after changes constitutes acceptance.
If any provision is found unenforceable, the remaining provisions remain in effect.
Our failure to enforce any provision does not waive our right to enforce it later.
You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
We are not liable for delays or failures due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, pandemics, labor disputes, government actions, or infrastructure failures.
You agree to comply with all applicable export control laws and regulations. You may not export, re-export, or transfer our Services or any technical data to prohibited destinations, entities, or persons.
